Brief:

FTSE 350 services company required a new long term incentive plan (LTIP) to replace a previous plan that was not providing the right form of incentive for its senior executive team.

Solution:

Advising the board on a new structure for its long term incentive strategy, also identifying new performance criteria
Drafting of shareholder circular and plan rules
Discussions and meetings were held with the company and with institutions and following on from these a review of the comments raised was carried out
Second draft of circular and rules was produced along with the wording for the company’s annual report and accounts
Award letters and certificates were drafted and agreed by the company
Plan was approved by shareholders and was implemented successfully
